1. Introduction

These Terms & Conditions (“Terms”) govern the use of this website and the provision of services by GrowthSpark Digital LLC (“we”, “us”, “our”).

GrowthSpark Digital LLC is a company registered in Wyoming, USA. We provide digital marketing systems, CRM implementation, and AI-powered automation services to Australian businesses.

By accessing our website, booking a consultation, commencing a trial, or purchasing a subscription, you agree to be bound by these Terms.

2. Business Use

Our services are intended primarily for business use. You confirm that you are engaging our services for commercial purposes and not for personal, domestic, or household use.

3. Services

We provide consultancy, CRM setup, AI voice systems, automation workflows, lead management systems, and related digital services.

Service scope, deliverables, and inclusions are defined within your selected subscription plan, invoice, or written agreement. Any additional work outside agreed scope may incur additional fees.

4. Pricing & Payment

All pricing is displayed in Australian Dollars (AUD) unless otherwise stated.

Where required by law, GST will be applied in accordance with Australian tax regulations.

Payments are processed securely through Stripe or approved third-party payment providers.

Failure to pay invoices or subscription fees when due may result in suspension or termination of services without notice.

5. Free Trials & Auto-Billing

If a trial period is offered, payment details may be collected at registration. Unless cancelled before the trial end date, the selected subscription will automatically convert to a paid plan and the associated fee will be charged.

Subscriptions renew automatically on a recurring basis until cancelled prior to the next billing date.

6. Client Obligations

You agree to provide timely access to required systems, accurate information, approvals, and cooperation necessary for service delivery.

We are not responsible for delays or performance issues resulting from incomplete information, restricted access, third-party platform limitations, or client inaction.

7. Intellectual Property

All systems, workflows, automation logic, templates, copy, and technical configurations remain our intellectual property until paid in full.

Upon full payment, you are granted a non-exclusive, non-transferable licence to use the configured systems within your own business.

You may not resell, reverse engineer, or distribute our systems without written consent.

8. Cancellations

Subscription services may be cancelled at any time. Cancellation takes effect at the end of the current billing cycle.

Due to the customised and digital nature of our services, fees already paid are non-refundable unless required under Australian Consumer Law.

9. No Guarantee of Results

While our systems are designed to improve responsiveness and operational efficiency, we do not guarantee increased revenue, lead volume, or business performance.

Business outcomes depend on multiple external factors beyond our control.

10. Limitation of Liability

To the maximum extent permitted by law, we exclude liability for any indirect, incidental, consequential, or special damages, including loss of profits, revenue, data, goodwill, or opportunity.

Where liability cannot be excluded under the Australian Consumer Law, our total liability is limited, at our option, to:

• Resupplying the services; or
• Paying the cost of having the services resupplied.

11. Third-Party Platforms

Our services may rely on third-party platforms including CRM providers, telephony systems, hosting providers, and payment gateways. We are not responsible for outages, policy changes, pricing adjustments, or service interruptions caused by third-party providers.

12. Governing Law

These Terms are governed by the laws of Australia. Any dispute arising from these Terms shall be subject to the jurisdiction of the courts of Australia.
